AXT Eyes Capital Raise to Boost Indium Phosphide Production

AXT, Inc. has announced plans to undertake a public offering of its common stock, as the company seeks to raise capital to support expansion, research and development, and general corporate activities.

The company stated that the offering remains subject to market conditions, and there is no assurance regarding its timing, size, or completion. As part of the proposed transaction, AXT intends to grant underwriters a 30-day option to purchase up to an additional 15% of the shares offered, a provision commonly referred to as an overallotment option.

Proceeds from the offering are expected to be directed primarily toward supporting AXT’s subsidiary, Beijing Tongmei Xtal Technology Co., Ltd., particularly in expanding its production capacity for indium phosphide substrates. These materials are widely used in high-performance semiconductor applications, including optical communications, high-frequency electronics, and advanced sensing technologies.

In addition to capacity expansion, the company plans to allocate funds toward the development of new or enhanced products, as well as working capital and other general corporate purposes. Industry observers note that demand for compound semiconductor substrates, such as indium phosphide, continues to grow with the expansion of data infrastructure and next-generation communication technologies.

Northland Capital Markets has been appointed as the sole bookrunner for the offering. Co-managers include Needham & Company, B. Riley Securities, Craig-Hallum Capital Group, and Wedbush Securities.

The offering will be conducted under an effective shelf registration statement filed with the U.S. Securities and Exchange Commission on April 20, 2026. A preliminary prospectus supplement has been submitted and is available through the SEC, with final terms to be detailed in a subsequent filing.
