Diodes Incorporated (Nasdaq: DIOD) has completed its acquisition of ElevATE Semiconductor, strengthening its position in the automated test equipment (ATE) market as semiconductor manufacturers face rising testing requirements.
Diodes acquired the San Diego-based fabless semiconductor company for $250 million in an all-cash transaction. ElevATE develops integrated, low-power analog and mixed-signal semiconductors for advanced semiconductor testing applications.
The acquisition expands Diodes’ analog and mixed-signal portfolio. It also gives the company greater exposure to ATE, a market benefiting from growing semiconductor complexity and increasing test intensity.
As chips become more complex, manufacturers require more sophisticated testing to identify defects and validate performance. That is increasing demand for specialized analog and mixed-signal components used in semiconductor test systems.
“ElevATE’s differentiated technology, exceptional engineering capabilities, strong customer relationships, and leadership in the ATE market complement Diodes’ broad analog and power portfolio,” said Gary Yu, President and CEO of Diodes.
Yu said the combination would allow Diodes to offer a broader range of solutions while increasing its participation in higher-value analog and mixed-signal applications. He also welcomed ElevATE employees to the company following the transaction.
ElevATE will operate as a product line within Diodes. The structure is intended to maintain continuity for existing customers while giving the business access to Diodes’ global infrastructure, manufacturing footprint and worldwide sales network.
The acquisition is expected to contribute approximately $50 million in revenue during the first 12 months following its completion. Diodes also expects the deal to be immediately accretive to revenue, gross margin and earnings per share.
The transaction is part of Diodes’ broader effort to expand its semiconductor content and increase exposure to markets with higher growth potential. Its existing portfolio includes analog, power, discrete and mixed-signal semiconductor products.
ElevATE’s focus on low-power, highly integrated solutions adds further depth to the company’s analog and mixed-signal offerings. Its technology is designed to address testing challenges associated with increasingly sophisticated semiconductor devices.
The completed acquisition also gives Diodes an opportunity to leverage ElevATE’s customer relationships and engineering capabilities across its broader global organization.
For the ATE market, the deal comes as semiconductor testing becomes more critical across advanced processors, memory, automotive electronics and other high-complexity devices. Higher device density and increasingly demanding performance requirements are driving greater emphasis on test accuracy and efficiency.
Diodes said the acquisition will support its strategy of expanding its product portfolio and increasing semiconductor content across targeted end markets. The company expects ElevATE to contribute to that strategy while benefiting from Diodes’ scale and international reach.
