INNIO Group has publicly filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission for a proposed initial public offering of its common shares, marking a significant step toward entering the public markets.

The company said it has applied to list its common shares on the Nasdaq Global Select Market under the ticker symbol “INIO.” However, the timing of the offering, the number of shares to be issued, and the proposed price range have not yet been determined.

INNIO, which operates in the distributed energy sector, provides energy solutions focused on decentralized power generation and energy resilience technologies for industrial, commercial, and utility applications worldwide. The company’s IPO plans come amid continued investor interest in energy infrastructure, efficiency technologies, and lower-emission power systems.

A consortium of major financial institutions has been appointed to manage the proposed offering. Goldman Sachs, J.P. Morgan, and Morgan Stanley will serve as joint lead book-running managers. Additional book-running managers include BofA Securities, Barclays, and Citigroup.

Other institutions supporting the offering include Baird, BNP Paribas, Deutsche Bank Securities, RBC Capital Markets, UBS Investment Bank, Credit Agricole CIB, Erste Group, UniCredit, Academy Securities, and Drexel Hamilton.

The proposed IPO remains subject to market conditions and regulatory approval, including the effectiveness of the registration statement filed with the SEC. The company stated there is no assurance regarding whether or when the offering will be completed, or the final terms of the transaction.

INNIO noted that the securities may not be sold, nor offers to buy accepted, until the registration statement becomes effective. The offering will be made solely through a prospectus once available.
