Eva Live Signs Airbeam Deal to Expand AI Communications

Eva Live Inc. (NASDAQ: GOAI) has signed a Letter of Intent (LOI) to acquire a controlling 51% stake in Airbeam Wireless Technologies Inc., with an option to purchase the remaining 49%, in a transaction valuing the wireless semiconductor company at approximately US$16 million. The proposed acquisition marks a strategic move by the artificial intelligence company to strengthen its position in autonomous defence systems, AI communications infrastructure and satellite networking.

If completed, the acquisition would provide Eva Live with access to Airbeam’s portfolio of 60GHz wireless communication technologies, more than 260 patents and semiconductor design assets covering WiHD, WiGig and advanced millimetre-wave technologies. The company said the transaction supports its long-term strategy of developing AI-powered communications infrastructure for defence, commercial and future space applications.

Airbeam, founded in 2019, acquired its technology portfolio from Lattice Semiconductor, building on research and product development that spans more than two decades. According to Airbeam’s historical documentation, the technology lineage has benefited from more than US$150 million in cumulative investment across research, engineering and commercialisation efforts involving the University of California, Berkeley’s Berkeley Wireless Research Center, SiBeam, Silicon Image, Lattice Semiconductor and related technology programmes.

Eva Live believes the acquisition places it at the intersection of three rapidly expanding technology markets—autonomous defence, AI-enabled communications and satellite networking—which it estimates collectively represent a US$3 trillion global opportunity over the coming decades.

The proposed deal comes as governments and defence organisations worldwide accelerate investments in autonomous military platforms, edge AI and resilient communications capable of operating in increasingly contested environments. While autonomous drones and AI-enabled battlefield systems continue to evolve, secure and reliable communications have emerged as a critical challenge for coordinating large numbers of autonomous assets in real time.

Through its defence business, Eva Defense, the company plans to integrate Airbeam’s beamforming technology with its artificial intelligence platform to develop communications networks for autonomous drone swarms and distributed defence systems. Unlike conventional omnidirectional radio technologies, millimetre-wave beamforming creates highly directional, high-bandwidth wireless links designed to improve security, reduce interference and support large volumes of real-time data transmission.

According to the company, combining these wireless capabilities with AI could enable autonomous platforms to establish communication links dynamically, reroute data when networks are disrupted, optimise mesh topologies and coordinate swarm operations with minimal human intervention. Eva Live said such capabilities could improve the resilience and efficiency of communications in contested operational environments while supporting future autonomous military applications.

Beyond defence, the acquisition would expand Eva Live’s presence in commercial wireless infrastructure. Airbeam develops multi-gigabit wireless modules capable of supporting AI processing at the edge, high-bandwidth backhaul networks and smart city deployments through its Mesh Smart platform. The company is also a contributor to ROAM, described as the world’s largest decentralised OpenRoaming network, enabling secure wireless connectivity across participating locations.

The proposed acquisition also reflects growing industry interest in applying terrestrial communications technologies to space-based networks. Eva Live said it sees long-term opportunities for Airbeam’s millimetre-wave technologies in inter-satellite communications as low-Earth orbit constellations continue to expand. Highly directional wireless links could enable satellites to exchange large volumes of data while reducing interference and improving bandwidth utilisation.

The company also outlined longer-term ambitions beyond Earth orbit, suggesting similar networking technologies could eventually support communications infrastructure for future lunar habitats, robotic exploration systems, autonomous mining operations and scientific facilities. While these applications remain prospective, Eva Live said the same engineering principles underpinning autonomous defence communications could also support future space infrastructure.

Following completion of the proposed transaction, Eva Defense intends to accelerate development across several strategic areas, including AI-powered autonomous drone swarm communications, adaptive beamforming technologies, distributed mesh networking, edge AI infrastructure, smart city wireless systems, satellite networking platforms and future communications infrastructure for lunar environments.

The acquisition would also provide Eva Live with a mature technology platform rather than requiring the company to build similar capabilities internally. According to the company, Airbeam’s engineering heritage and extensive intellectual property portfolio significantly shorten the development timeline for next-generation communications products by leveraging technologies that have already undergone years of research, validation and commercial development.

Commenting on the proposed transaction, David Boulette, Chief Executive Officer of Eva Live, said secure communications will be as important as artificial intelligence in enabling the next generation of autonomous systems.

“Artificial intelligence will define the next generation of autonomous systems—but intelligence alone isn’t enough,” Boulette said. “Those systems must communicate securely, instantly and intelligently. Airbeam brings us access to more than 260 patents built upon a technology lineage that benefited from over US$150 million of engineering and innovation over the past two decades.”

He added that the acquisition aligns with the company’s objective of building communications infrastructure capable of supporting autonomous drone swarms, resilient military networks, smart cities, satellite constellations and future space-based applications.

The Letter of Intent is non-binding and remains subject to due diligence, negotiation of definitive agreements and customary closing conditions. If the acquisition proceeds, it would represent a significant expansion of Eva Live’s technology portfolio, combining AI software capabilities with advanced wireless semiconductor technologies as demand grows for intelligent communications across defence, industrial automation and space-based infrastructure.
