Vecima Networks Inc. (TSX: VCM) has agreed to sell the assets of its telematics business to Lantronix, Inc. for approximately C$16.5 million ($12.1 million), as the Canadian technology company sharpens its focus on broadband and video platforms.
The all-cash transaction includes C$14.5 million payable at closing and an additional C$2.0 million due by the end of 2026, subject to customary working capital adjustments. The companies said the asset sale is expected to close in the near term, pending customary closing conditions.
The divestiture covers Vecima’s Telematics business, including its Nero Global Tracking software platform, which provides mobile and fixed-asset tracking and fleet management solutions.
The business has been part of Vecima since 2016 and serves customers with tracking technologies used to monitor vehicles and other assets. Following the acquisition, the business will become part of Lantronix’s portfolio of Edge AI and Industrial Internet of Things (IIoT) products.
The transaction comes as technology companies continue to streamline operations and reallocate capital toward higher-growth business segments, particularly those linked to artificial intelligence, broadband infrastructure and industrial connectivity.
Vecima said the sale would allow it to concentrate on its core broadband access and video networking businesses, where demand is being driven by fibre network expansion, DOCSIS upgrades and increasing investment in AI-enabled broadband infrastructure.
“The Telematics Business has been an important part of Vecima’s history for many years, and we are incredibly proud of what the team has built,” President and Chief Executive Officer Sumit Kumar said in a statement.
Kumar said the company believes the telematics business will benefit from joining Lantronix, whose strategic focus on Industrial IoT and Edge AI provides opportunities for further growth.
He added that the transaction strengthens Vecima’s balance sheet while enabling the company to accelerate investment in broadband software and video technologies.
Lantronix develops edge computing, connectivity and remote management solutions used in industrial and enterprise environments. The acquisition expands its capabilities in fleet and asset tracking, complementing its existing Industrial IoT portfolio.
Financial terms beyond the purchase price were not disclosed. Upon completion, Vecima will continue to focus its operations on broadband access technologies, software and video platforms as telecommunications operators invest in next-generation network infrastructure.
